THIS AGREEMENT is made this _______ day of __________________________ 200_____ and is an extension and an addition to the license agreement between Compulife Software, Inc. ("Compulife"), a corporation incorporated under the laws of the State of Delaware

1. Software Updates and Improvements

In addition to the definitions and conditions set forth in the license agreement between Compulife and Customer, to which this agreement is added, Customer agrees that:

(i)    Compulife will not be providing customer with the diskettes which contain the current software ("monthly updates"). In place of those diskettes, Compulife will make the software available on its Internet web site in the form of a compressed file.

(ii)   Customer is solely responsible to download the compressed file from the Internet each month.

(iii)  Compulife makes no warranty regarding the compatibility of the compressed file with any particular Internet browser software which the customer may use to download the file.

(iv)   Customer acknowledges that it has already downloaded a "mid-month" update file from the Compulife internet web site. Customer warrants that it has experienced no difficulty with that download process and was able to use and process the downloaded file properly.

(v)    Customer assumes full responsibility for any technical problems that may prevent the customer from downloading the file from the Internet.

(vi)   In the event of technical difficulties, Customer may elect to contact Compulife to obtain the software update on diskettes. Compulife will ship diskettes once it has received an advance payment of $10 for shipping and handling, plus the cost of the postage or courier fees for that shipment. Alternately, as payment, customer may instruct Compulife to reduce its prepaid annual subscription period by one month.

2. Annual License Fee Reduction

(i)    Compulife agrees to provide an $80 discount to the published annual fee for disk updates.

(ii)   Compulife may increase or decrease the amount of this discount at any time.

3. Termination

(i)    This Internet Update Endorsement may be terminated by the Customer at any time. Termination of this endorsement by Customer does not alter or change the license agreement between Customer and Compulife. In the event of termination of this endorsement by Customer, the license agreement shall continue. In the event of termination by Customer, the discount provided under this agreement no longer applies. Customer agrees that Compulife may reduce the period of the annual subscription period in order to recover any discount that had been provided under this agreement.

(ii)   In the event of termination of this endorsement by reason of Customer's failure to comply with any part of this endorsement or the license agreement referred to in this endorsement or upon any act which shall give rise to Compulife's right to terminate, Compulife shall have the right, at any time, to terminate the endorsement and the license and take immediate possession of the Software and all copies wherever located, without demand or notice. Within 10 days after termination of the license, Customer agrees to destroy the Software and all copies, and certify in writing that they have been destroyed. Termination under this paragraph shall not relieve Customer of its obligations regarding Compulife's copyright of the Software.

(iii)  Compulife may terminate this Internet Update Endorsement for any cause by giving a 30 day written notice of intention to terminate. Termination of this endorsement does not alter or change the license agreement between Customer and Compulife. In the event of termination by Compulife, Compulife may not recover the annual fee reduction.

(iv)   Any termination of the license agreement to which this endorsement is added, is an immediate termination of this endorsement.
