THIS AGREEMENT is made this ______ day of _______________ 200 ______ and is an extension and addition to the license agreement between Compulife Software, Inc. ("Compulife"), a corporation incorporated under the laws of the State of Delaware

1. Limitation to Use of Software

In addition to the definitions and conditions set forth in the license agreement between Compulife and Customer, to which this agreement is added, Customer agrees that:

(i)    Customer is or has only ONE licensed life insurance agent or life insurance broker who uses the Compulife quotation system software to produce insurance quotations and illustrations for the Customer's sale of life insurance to the public.

(ii)   Customer does not produce any quotations which are provided to any other life insurance agent or life insurance broker or for anyone other than the Customer's own insurance clients or prospective insurance clients who use the quotations solely for the purpose of assisting the client or prospective client in the purchase of life insurance from the Customer.

(iii)  Customer does not permit any other life insurance agent or life insurance broker to use the software on the Customer's computer equipment.

(iv)   Customer acknowledges that the "agent name" which is to be entered and serialized into the program shall be:

 

(v) Customer acknowledges that the "agent name" will not be altered in the software unless Customer contacts Compulife and requests a change to the agent name.

2. Annual Fee Reduction

(i)    Compulife agrees to provide a $100 discount in the annual service fee as set forth in the license agreement between Compulife and Customer.

(ii)   Compulife may increase the amount of this discount at any time.

(iii)  Compulife agrees to provide a one year notice to Customer regarding any reduction in the amount of this discount.

3. Termination

(i)    This Personal Use Endorsement may be terminated by the Customer at any time. Termination of this endorsement by Customer does not alter or change the license agreement between Customer and Compulife. In the event of termination of this endorsement by Customer, the license agreement shall continue. In the event of termination by Customer, the discount provided under this agreement no longer applies and Customer will receive a change in serialization permitting Customer to enter different agent names into the software at the Customer's discretion.

(ii)   In the event of termination of this endorsement by reason of Customer's failure to comply with any part of this endorsement or the license agreement referred to in this endorsement or upon any act which shall give rise to Compulife's right to terminate, Compulife shall have the right, at any time, to terminate the endorsement and the license and take immediate possession of the Software and all copies wherever located, without demand or notice. Within 10 days after termination of the license, Customer will return to Compulife the Software in the form provided by Compulife or, upon request by Compulife, destroy the Software and all copies, and certify in writing that they have been destroyed. Termination under this paragraph shall not relieve Customer of its obligations regarding Compulife's copyright of the Software.

(iii)  Compulife may terminate this Personal Use Endorsement for any cause by giving a one year written notice of intention to terminate. Termination of this endorsement does not alter or change the license agreement between Customer and Compulife.

(iv)   Any termination of the license agreement to which this endorsement is added, is an immediate termination of this endorsement.
